Terms of Service

Agreement

These Terms of Service (“Terms”) govern your use of the software applications operated by Makai Bookkeeping (“Makai,” “we,” “us”), including any app that lets you sign in with or connect a Google account (the “Application”). By using the Application, you agree to these Terms and to our Privacy Policy. If you're using it for a business, you confirm you're authorized to accept these Terms for that business.

If you're a bookkeeping client, your engagement letter governs the bookkeeping services themselves. These Terms cover the Application; where the two conflict, the engagement letter controls.

Eligibility and accounts

You must be at least 18 and able to form a binding contract. You're responsible for keeping your login credentials secure and for activity under your account. Tell us right away at delos@makaibookkeeping.com if you think your account has been compromised.

Connecting third-party accounts

The Application can connect to services such as Google. You choose what access to grant on the provider's consent screen and can revoke it at any time (for Google, at myaccount.google.com/permissions). Your use of those services remains subject to their own terms. We aren't responsible for third-party services, their availability or their changes.

Acceptable use

You agree not to:

• Use the Application for anything unlawful or fraudulent, or to submit information you don't have the right to share
• Try to gain unauthorized access to the Application, other accounts, or our systems
• Interfere with or disrupt the Application, or probe, scan or test its vulnerabilities without our written permission
• Copy, modify, reverse engineer or resell the Application
• Upload malware or other harmful code

Your data

You own the data you provide or connect. You grant us a limited license to access, process and store it only to operate the Application and provide our services to you, as described in the Privacy Policy. You're responsible for the accuracy of the information you provide.

Our property

The Application, including its software, design and content, belongs to Makai and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use it for its intended purpose while these Terms are in effect.

Not tax or legal advice

Reports, categorizations and other output from the Application support bookkeeping. They aren't tax, legal or investment advice, and you should review them before relying on them for filings or decisions. Advice we give under a client engagement is governed by that engagement.

Availability and changes

We may change, suspend or discontinue all or part of the Application at any time. We'll try to give reasonable notice of changes that materially affect you.

Termination

You can stop using the Application and disconnect your accounts at any time. We may suspend or end your access if you breach these Terms or if needed to protect the Application or others. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability and governing law) will survive.

Disclaimer of warranties

To the fullest extent permitted by law, the Application is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that it will be uninterrupted, error-free or secure.

Limitation of liability

To the fullest extent permitted by law, Makai won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Application. Our total liability for any claim relating to the Application is limited to the greater of the amount you paid us for the Application in the 12 months before the claim or $100.

Indemnification

You agree to indemnify and hold Makai harmless from claims, losses and expenses (including reasonable attorneys' fees) arising from your misuse of the Application or your breach of these Terms.

Governing law

These Terms are governed by the laws of the State of Hawai‘i, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Honolulu, Hawai‘i, and you consent to their jurisdiction.

Changes to these Terms

We may update these Terms. We'll change the effective date above and, for material changes, give notice through the Application or by email. Continued use after changes take effect means you accept them.
